Terms & Conditions

Rules for manufacturers, wholesalers, payments, listings, orders, and platform access.

1. Acceptance and eligibility

By registering, accessing or using the Platform, you agree to these Terms, the Privacy Policy, Cancellation & Refund Policy and Commission Policy. You must be at least 18, authorised to bind the business you represent, and hold all licences, registrations and permissions required for the pharmaceutical activity you perform. PharmaDeal may approve, reject, suspend or request clarification of an account.

2. Platform role

PharmaDeal provides B2B discovery, ordering, communication and commission-payment infrastructure. Unless expressly stated on an invoice, PharmaDeal is not the manufacturer, wholesaler, seller, buyer, carrier, medical adviser or owner of products listed by users. The relevant manufacturer and wholesaler are responsible for the underlying sale, statutory invoice, product quality, title, taxes, transport, delivery and offline settlement.

3. Accounts and security

Information must be accurate, current and role-appropriate. An email or Google identity may not be linked across conflicting manufacturer and wholesaler roles. You are responsible for authorised use of your account and device. Do not share credentials or bypass approval, verification, suspension or technical controls. Tell support immediately if an account may be compromised.

4. Listings and pharmaceutical compliance

Manufacturers must list accurate product name, category, unit, batch/expiry information where applicable, price, stock, delivery charge and offer terms. They must promptly correct or archive unavailable, recalled, prohibited, expired or inaccurate listings. Wholesalers must order only within their licence and applicable law. The Platform excludes expired, inactive, out-of-stock and suspended-manufacturer products from eligible catalogue and checkout flows, but users remain responsible for verification at dispatch and receipt.

5. Orders and stock reservation

A cart containing products from more than one manufacturer creates a separate order for each manufacturer. Each order has its own 2% commission payment, acceptance, delivery, cancellation and refund state. Stock is reserved for 15 minutes while the online commission payment is pending. An unpaid or expired reservation may be cancelled automatically and stock released. An order is not paid merely because the payment screen was opened; successful server-side verification is required.

6. Price, commission and offline balance

For each manufacturer-specific order, the wholesaler pays PharmaDeal an online booking commission equal to 2% of the product subtotal. Delivery charges are excluded from that calculation. The remaining 98% of product subtotal plus the delivery charge is payable directly/offline to the manufacturer under terms agreed between those parties. PharmaDeal does not collect, hold or guarantee that offline balance in the current release.

7. Acceptance, fulfilment and invoices

The manufacturer may accept or reject an eligible order. The manufacturer is responsible for lawful packing, cold-chain or storage requirements, transport arrangements, delivery evidence, tax invoice, batch/expiry accuracy and applicable returns. The wholesaler must provide a correct delivery address, inspect goods promptly, pay the manufacturer balance and report discrepancies through support and directly to the manufacturer.

8. Cancellation and refunds

A wholesaler may cancel only while the order remains eligible in the app (generally before manufacturer processing). Rejection, an eligible cancellation or an approved refund starts a refund of that order’s online booking commission. Offline amounts paid directly to a manufacturer are not held by PharmaDeal and must be resolved with that manufacturer. Full rules appear in the Cancellation & Refund Policy.

9. Premium

The Wholesaler Premium plan costs ₹500 for exactly 30 days from successful activation and currently unlocks category-wise cheapest-product and comparison features. Benefits may evolve prospectively. Premium is not auto-renewing in the current release. Refunds are limited as described in the Cancellation & Refund Policy.

10. Acceptable use

You must not submit false licences or business details; list unlawful, counterfeit, recalled, expired or mislabelled products; manipulate stock, pricing, offers, reviews, payments or refunds; scrape or reverse engineer the Platform; introduce malware; impersonate another person; send unsolicited material; or use the Platform in a way that breaches pharmaceutical, competition, tax, privacy, consumer, export or other law.

11. Third-party services and communications

Google/Firebase, Razorpay, OneSignal, hosting, mail, telecom and device-platform services are governed by their own availability and terms. Transactional notices may be sent by app, push, email or support channels. Optional push notifications can be disabled, but essential notices may still appear in the app or be sent by email where necessary to perform an order or protect the service.

12. Intellectual property

PharmaDeal and its licensors own the Platform software, branding and original content. You retain rights in information and listings you submit, and grant PharmaDeal a limited, non-exclusive licence to host, reproduce and display them only as needed to operate, secure, support and promote the Platform. You warrant that your content is lawful and does not infringe third-party rights.

13. Suspension, deactivation and termination

PharmaDeal may restrict or deactivate access for suspected fraud, invalid licensing, non-payment, unlawful activity, security risk, repeated complaints or breach of these Terms. Tokens may be revoked and products archived. Deactivation does not cancel accrued obligations or erase records that must be preserved. Outstanding orders, offline balances, refunds and disputes remain subject to their applicable terms.

14. Disclaimers and liability

The Platform is provided on an “as available” basis. To the maximum extent permitted by law, PharmaDeal does not guarantee uninterrupted access, the accuracy of user listings, product fitness, availability, delivery, licensing status or payment-provider availability. Nothing excludes liability that cannot lawfully be excluded. Otherwise, PharmaDeal is not liable for indirect, special or consequential loss, lost profits, lost stock, manufacturer/wholesaler default, or an offline payment dispute. Each user indemnifies PharmaDeal against third-party claims arising from that user’s unlawful products, data, conduct, tax obligations or breach of these Terms, to the extent permitted by law.

15. Governing law and disputes

These Terms are governed by the laws of India. First contact support with full order and account details (excluding passwords, OTPs, PINs or full payment credentials) so the issue can be investigated. Subject to mandatory law, courts with jurisdiction over the operator’s registered office will have jurisdiction. Nothing limits a statutory remedy available to you.
